Results of the General Meeting
As announced on 22 March 2024, the Company agreed the sale of RMSpumptools to ChampionX UK Limited, a wholly-owned subsidiary of ChampionX Corporation (the "Disposal").
The Company is pleased to announce that at the General Meeting held earlier today, the resolution seeking approval of the Disposal was duly approved by the requisite majority on a poll vote. The table below sets out the results of the vote at the General Meeting.

*A vote "Withheld" is not a vote in law and is not counted in the calculation of the proportion of votes "For" and "Against" a resolution.
The disposal is conditional upon receipt (or waiver) of certain other conditions, including merger control clearance from the Saudi Arabian General Authority for Competition.
The total voting rights of the Company at the time by which shareholders wanting to attend, speak and vote at the General Meeting were required to be entered on the register, was 50,398,063 ordinary shares of £0.25 each and 100,000 preference shares of £1 each. The Company does not hold any shares in treasury. In accordance with the Company's Articles of Association and subject to the Listing Rules, on a poll every member who is present in person or by proxy has one vote for every share held.
In accordance with Listing Rule 9.6.2, a copy of the resolution passed at the General Meeting will shortly be available for inspection at the National Storage Mechanism which is located at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
