Minerales y Productos Derivados SA (MINERSA) is a Spain-based company principally engaged in the mining sector. The Company’s activities include the extraction, exploitation and sale of such industrial minerals as fluorspar, barite, sepiolite and bentonite. The Company is also involved in the chemical sector and it produces sodium sulfate and fluorochemicals. The Company is a parent of Grupo Minersa, a group which comprises a number of controlled entities, such as Derivados del Fluor SA, Sepiol SA, Fluoritas Asturianas SLU, SA Sulquisa, Mercados Mundiales Import Export SA, Fami-Cuatro de Inversiones SA, Vergenoeg Mining Company (Pty) Ltd, Anhivel Soluciones Anhidrita SLU and Minersa Fluorita SLU. As of December 31, 2011, Lombard International Assurance SA was the Company’s major shareholder with 15.7% of its interest.
